IMPORTANT NOTICE: PLEASE READ THESE TERMS OF SERVICE CAREFULLY—THEY AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS. BY USING CLIVO, YOU AGREE TO THESE TERMS.
Clivo Financial Technologies. (“Clivo”) provides business-to-business payment services and tools to Canadian businesses. These Terms of Service (the “Agreement”) are a legal agreement between you and Clivo. This Agreement governs your use of Clivo’s platform, tools, and services (the “Services”). If you do not agree to this Agreement, you may not use the Services.
1. ACCEPTANCE OF AGREEMENT
By using Clivo, you represent that you are authorized to enter this Agreement on behalf of your business or organization and you agree to comply with it.
2. AMENDMENTS
We may update these Terms at any time. Continued use of the Services after changes take effect constitutes your acceptance.
3. OVERVIEW OF CLIVO SERVICES
Clivo allows Canadian businesses (“Users”) to issue and pay invoices, manage vendors and customers, automate approval workflows, and initiate payments via bank transfer or credit card. Our Services also support integration with third-party platforms like QuickBooks.
4. ELIGIBILITY AND SETTING UP YOUR ACCOUNT
To use Clivo, you must be located in Canada and use the Services for business purposes. While registration of your business is encouraged, it is not required to use our invoicing tools. However, access to certain features such as sending or receiving payments may require verified business information. You’re responsible for all activity that occurs in your account.
5. IDENTITY VERIFICATION
Clivo uses third-party services to verify the identity of users and their associated businesses in compliance with Canadian regulations including FINTRAC and anti-money laundering (AML) laws. We may ask you to provide government-issued ID, business registration documents, or proof of banking. Your access to certain features may be restricted until verification is complete. Refusal to complete verification may result in denial of service. We reserve the right to share information with regulators or partners when legally required or necessary to complete verification.
6. PAYMENT METHODS
Clivo supports payment by EFT (electronic funds transfer), Interac, and credit card. Payment methods may be subject to verification and additional terms. You authorize Clivo and its banking partners to process payments on your behalf.
7. FEES
We charge fees for certain transactions and features, disclosed at the time of use or through your pricing plan. Free monthly limits may apply. Exceeding those may incur additional charges.
8. ACCEPTABLE USE
You agree to use Clivo only for lawful business transactions. You may not use the platform for personal use, illegal activities, or payments involving restricted products or services. You also agree to comply with all applicable federal, provincial, and local laws and regulations when using the Services.
9. REFUNDS
All payments processed through Clivo are final. We do not issue refunds once a payment has been successfully processed, except where required by law. Users are responsible for ensuring payment accuracy prior to submission.
10. SUSPENSION & TERMINATION
We may suspend or terminate access to the Services for non-compliance, suspicious activity, or risk concerns. You may close your account at any time.
11. LIMITATION OF LIABILITY
Clivo is provided “as is.” We are not liable for indirect damages, including lost profits. Our total liability is limited to fees paid in the past 12 months.
12. GOVERNING LAW
This Agreement is governed by the laws of the Province of Ontario and applicable federal laws of Canada.
